Customer Subscription Agreement

Template document. Each customer signs this agreement together with an order form recording their plan, pricing, and configuration. It does not take effect until signed by both parties. Have it reviewed by your legal adviser before signature.

1. Parties

This agreement is made between the customer named in the applicable order form (the “Customer”) and Pro Outsource LTD, a company registered in England and Wales with company number 16166040, trading as Payzava (“Payzava”, “we”, “us”).

2. Services

Payzava provides:

  • The Payzava application: cloud payroll and HR software including statutory payroll calculations, multi-currency payroll, payslips, employee self-service, and reporting, as described in the order form.
  • Guided onboarding: employee data import, payroll configuration, and — where agreed — parallel payroll runs reconciled against the Customer's existing process before live cutover.
  • Support: as described in section 5.

Live cutover to Payzava as the payroll of record is planned only after the Customer has reviewed and accepted the reconciliation results from the parallel runs, where parallel running forms part of the onboarding.

3. Fees and payment

  • Subscription fees are charged per employee per month at the rate in the order form (standard published pricing starts at $2 per employee per month).
  • Paid plans carry a minimum charge of $50 per company per month.
  • Standard onboarding is charged at $100–$250 depending on complexity. Onboarding is waived for the first five Zimbabwe founding customers.
  • Any founding-customer or pilot discount and its duration are recorded in the order form.
  • Fees are stated in USD, are exclusive of applicable taxes, and are payable in accordance with the invoicing terms in the order form.

4. Term and renewal

The agreement starts on the effective date in the order form and continues monthly, or for the initial term stated in the order form, renewing automatically unless either party gives notice of non-renewal in accordance with the order form. Pricing changes take effect only at renewal and with prior written notice.

5. Support

Support is provided during business hours, Monday to Friday, 08:00–18:00 CAT, through the in-app support channel and email. Founding customers additionally receive direct WhatsApp and email support during the pilot period. Response targets for the Customer's plan are set out in the order form.

6. Customer data

  • The Customer owns all employee, payroll, and HR data it submits to the application.
  • Payzava processes that data only to provide the services, under the data processing agreement, which is incorporated into this agreement.
  • The Customer can export its payroll and employee data at any time during the term and before deletion on exit.
  • The Customer is responsible for the accuracy of the data it submits and for reviewing payroll results before payments are made.

7. Acceptable use

The Customer must keep account credentials secure, use the application only for lawful payroll and HR purposes for its own organisation, and must not attempt to circumvent security controls, resell access without a separate written agreement, or use the application to process data it has no right to process.

8. Warranties and liability

  • Payzava will provide the services with reasonable skill and care and will apply statutory payroll rules as published by the relevant authorities and configured with the Customer during onboarding.
  • The application supports payroll calculation and record-keeping; it does not constitute tax, legal, or accounting advice. The Customer remains responsible for its statutory filings and payments.
  • Neither party is liable for indirect or consequential loss. Each party's total liability under this agreement is capped at the amount stated in the order form (by default, the fees paid in the 12 months before the claim), except for liabilities that cannot be limited by law.

9. Suspension and termination

Either party may terminate for material breach that remains uncured 30 days after written notice. Payzava may suspend access for non-payment or serious misuse, after notice where practicable. The Customer may terminate at the end of any billing period in accordance with the notice terms in the order form.

10. Exit assistance

On termination or expiry, the Customer has a period stated in the order form (by default 30 days) to export its data in a structured, commonly used format. Payzava will provide reasonable assistance with the export, after which data is deleted in accordance with the data processing agreement, unless retention is required by law.

11. General

The governing law and jurisdiction are stated in the order form. This agreement, the order form, and the data processing agreement form the entire agreement between the parties for the services and supersede prior discussions. The website terms of use govern use of the marketing website only.
